recreational club legal matters on a local and national level.  Matters customarily addressed
include property management, acquisition, development, membership plan design,
documentation and implementation, including bylaws, rules, policies and member admission
procedures and documentation.  We also advise owners and managers on the entire range of
club and golf course related legal issues, such as tax avoidance and non-recognition, equity
conversions, employment contracts issues and advising owners and directors on governance,
privacy and tax exemption issues.  

Other areas of concentration include corporate, corporate finance and nonprofit, trade
association matters, accompanied by substantial experience in transactional work.  

The Firm advises business and professional clients regarding organizational and operational
legal issues.  The client base includes recreational clubs and developers, professional
engineers, golf management companies, trade associations and consultants.  Work performed
includes drafting and negotiating turnover agreements, ground leases, management
agreements, non-disclosure and confidentiality agreements, distributorship and independent
marketing agreements, limited liability company  operating agreements and corporate
organizational and real estate related transactional documentation.
